Paul Walhus ("Provider") will deliver the following podcast services to The Bergeron Group ("Client"):
A. Studio Setup (One-Time)
Provider will design, configure, and set up a professional podcast recording environment at the Client's office, using equipment already in the Client's possession where possible. Setup includes:
Acoustic assessment and sound treatment of the recording space
Microphone, headphone, and audio interface configuration
Recording software installation, configuration, and template creation
Test recordings and quality assurance
Training session for Client on how to start and stop recordings
B. Weekly Production Services
For each episode recorded by the Client, Provider will deliver:
Audio editing: Noise removal, level balancing, intro/outro, and final mix
Show notes: Written summary, key takeaways, and timestamps
Transcript: Full episode transcript formatted as a blog post for the Client's website network
Distribution: Publishing to Spotify, Apple Podcasts, Amazon Music, and other major platforms
Social media clips: 3-5 short audio or video clips per episode for social media use
Website integration: Episode content published to relevant sites in the Client's website network
2. Pricing & Payment

Up to 4 episodes per month: editing, show notes, transcript, distribution, social clips, and website integration
Additional episodes beyond 4 per month will be billed at $75 per episode. This covers editing, show notes, transcript, and distribution for each additional episode.
Payment Terms
Studio setup is invoiced upon completion
Monthly production fee is invoiced on the 1st of each month
Equipment costs: Any additional equipment recommended by Provider (microphones, acoustic panels, cables, etc.) is the responsibility of the Client. Provider will recommend options at multiple price points and will not purchase equipment without the Client's prior approval.
3. Client Responsibilities
To ensure consistent production, the Client agrees to:
Record weekly: Record one episode per week (approximately 20-45 minutes) using the studio setup provided
Deliver raw audio: Send the raw recording file to Provider within 24 hours of recording
Episode topics: Collaborate with Provider on a monthly content calendar to align episodes with the website network strategy
Guest coordination: Schedule and confirm any guest interviews; Provider will supply interview prep questions if requested
Review window: Review and approve show notes and transcript within 48 hours of delivery, or they will be published as-is

5. Production Turnaround
Provider will deliver the edited episode, show notes, and transcript within 3 business days of receiving the raw recording
Social media clips will be delivered within 5 business days of receiving the raw recording
Episodes will be published to podcast platforms within 24 hours of Client approval (or after 48-hour review window expires)
6. Ownership & Intellectual Property
All podcast episodes, transcripts, show notes, and derivative content are owned by the Client upon full payment
Client retains full rights to all recorded audio and may repurpose content in any way
Provider retains the right to be credited as producer in show notes and episode descriptions
Podcast platform accounts (Spotify, Apple, etc.) will be created under the Client's name and are owned by the Client
7. Confidentiality
Both parties agree that production details, strategy, content calendars, and unpublished episode content are confidential and will not be shared with third parties without written consent.
8. Pause & Termination
Client may pause monthly production for up to 2 months per calendar year with 14 days written notice. No monthly fees are charged during paused months.
Either party may terminate this agreement with 30 days written notice
Upon termination, Client will pay for all completed work through the termination date
Provider will deliver all completed files, platform credentials, and access to the Client within 14 days of termination
Studio setup fee is non-refundable once setup is complete
9. Revisions
Each episode includes 1 round of revisions to the edited audio after initial delivery
Show notes and transcript revisions are unlimited within the 48-hour review window
Additional audio revision rounds beyond the first are billed at $40/hour
10. Limitation of Liability
Provider is not responsible for podcast platform policies, algorithm changes, or download/listener counts, as these are determined by third-party platforms
Provider's total liability under this agreement shall not exceed the total fees paid by the Client in the preceding 3 months
Client is responsible for the accuracy of all statements made during recorded episodes
11. Agreement
By signing below, both parties agree to the terms outlined in this Podcast Service Agreement.
